1. Agreement to Terms

By accessing or using Downline Data ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Downline Data is a multi-level marketing (MLM) analytics platform that provides tools for analyzing sales data, visualizing network hierarchies, and managing distributor relationships within MLM organizations, specifically designed for the Enagic MLM system.

3. User Accounts

3.1 Account Types

The Service offers three types of user accounts:

• Free: Limited access to monthly and yearly data for their own distributor ID
• Member: Full access to upload CSV reports, edit network hierarchies, and invite sub-accounts
• Leader: View-only access to their downline data, invitation-only

3.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Data Usage and Privacy

4.1 Data Upload

Member account holders may upload CSV sales reports containing distributor sales data. By uploading data, you represent and warrant that:

• You have the legal right to upload and share this data
• The data does not violate any confidentiality agreements with Enagic or other parties
• You accept responsibility for the accuracy and completeness of uploaded data

4.2 Data Processing

We process uploaded CSV data according to the FIRSTLINE principle and other MLM system rules. We maintain data integrity but cannot guarantee the accuracy of insights derived from incomplete or incorrect data.

4.3 Data Visibility

Data visibility is restricted based on account type and network hierarchy. Users can only access data for their own downline network, subject to rank-based visibility rules inherent in the MLM system.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload false, misleading, or manipulated data
• Attempt to gain unauthorized access to other users' data
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems or software to extract data from the Service
• Resell, sublicense, or distribute access to the Service

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Downline Data and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any data you upload to the Service. By uploading data, you grant us a limited license to process and display this data as necessary to provide the Service.

8. Disclaimers

8.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted or error-free operation of the Service.

8.2 MLM Compliance

We are an independent analytics service and are not affiliated with Enagic or any MLM company. Users are responsible for ensuring their use of the Service complies with their distributor agreements and applicable MLM regulations.

8.3 Financial Advice

The Service provides data analysis tools only. We do not provide financial, investment, or business advice. All business decisions based on data from the Service are made at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, Downline Data shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

10. Indemnification

You agree to indemnify and hold harmless Downline Data, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

11. Termination

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of the European Union.
